1. Services Provided

topcelpip.com provides downloadable PDF test preparation materials for the CELPIP exam. Upon purchase, customers receive access to downloadable content via email or a member dashboard.

There is no live testing portal; the materials are self-paced and offline. We operate as a Canadian business and all transactions are subject to applicable Canadian taxes.

2. Account Requirements

To purchase or access materials, you may be required to:

• Create an account with valid Canadian or international contact information
• Provide a valid email address
• Confirm you are at least 13 years of age (or have parental consent)
• Agree to these terms
• Provide province/territory for tax calculation purposes

3. Pricing, Taxes, and Payments

• Currency: All pricing is displayed in US Dollars (USD)
• Taxes: Applicable GST/HST/PST will be added based on your billing province/territory
• Payment processing: Secure platforms (Stripe, PayPal, etc.) compliant with Canadian PCI standards
• Tax receipts: Available upon request for business purchasers

You agree to provide accurate payment details and authorize charges for your purchases.

4. License to Use Materials

When you purchase any PDF test from us, you receive a limited, non-transferable, single-user license to:

• Download and use the content for personal study only within Canada or internationally
• Not share, resell, copy, or redistribute any part of the content
• Not upload or host it publicly or use for commercial purposes
• Not create derivative works based on our content

Duration: License is perpetual for personal use but non-transferable. Violation of this license may result in legal action under Canadian copyright law and account termination.

5. Intellectual Property

All materials, branding, and test content are protected under Canadian copyright law and are the intellectual property of topcelpip.com. You may not copy, reproduce, or modify any part of the platform's materials without written permission.

Use of the Platform is for practice purposes only. Your performance on our platform does not guarantee any specific results on the official CELPIP test.

7. Consumer Protection Rights

Under Canadian consumer protection laws:

• You have rights that cannot be excluded by this agreement
• Provincial consumer protection acts may provide additional rights
• If you're in Quebec, the Consumer Protection Act provides specific protections for distance contracts
• We will honor all applicable statutory warranties and consumer rights

8. Limitation of Liability

Subject to Canadian consumer protection laws, we provide our test PDFs "as-is." While we strive to ensure quality and accuracy:

• We do not guarantee your CELPIP test result
• Our liability is limited to the amount you paid for the specific product
• We are not liable for indirect, incidental, or consequential damages

This limitation applies to the fullest extent permitted by Canadian law.
Quebec Residents: This clause does not limit liability for gross negligence or intentional fault as prohibited under Quebec law.

9. Governing Law and Dispute Resolution

• Governing Law: These terms are governed by the laws of Ontario and Canada
• Jurisdiction: Any disputes will be resolved in the courts of Ontario, Canada
• Language: This agreement is drafted in English. If translated, the English version prevails
• Alternative Dispute Resolution: We encourage resolution through provincial consumer mediation services before court proceedings

10. Force Majeure

We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including natural disasters, government actions, internet service disruptions, or other force majeure events.

11. Modification of Terms

We may update these terms with 30 days' notice via:

• Email to your registered address
• Prominent website posting
• Updated "Effective Date" at the top of this document

Continued use after notice period constitutes acceptance of new terms.

12. Termination

We reserve the right to cancel any account or deny access if we detect:

• Abuse of our intellectual property rights
• Fraud or payment disputes
• Violation of these terms
• Activities that may harm other users or our business

You may terminate your account at any time, subject to our data retention obligations.
